1. Acceptance of Terms

By accessing or using PhiladelphiaIsLove.com (the "Site"), creating an account, requesting VIP access, claiming an invitation, acquiring a ticket credential, or otherwise using Philadelphia Is Love digital services, you agree to these Terms & Conditions and the documents incorporated by reference, including the Privacy Policy and, where applicable, the Event Attendance Agreement, Media/Appearance Release, VIP Attendance Agreement, and Digital Experience Terms.

If you do not agree, do not use the Site or related services.

2. What Philadelphia Is Love Is

Philadelphia Is Love is a cultural, entertainment, media and live-event program that may include, without limitation: live events; cultural programming; live music; DJs; artists; performers; hosts; interviews; VIP guests; chefs; restaurants; fashion; community organizations; sponsors; brands; audience participation; photography; videography; livestreaming; broadcasting; recorded programming; social media; digital experiences (including Digital Avira / spatial experiences); immersive experiences; promotional programming; hospitality; giveaways; and youth/community initiatives such as Youth Lab and Philly Forward.

Not every feature described on the Site exists at all times. Descriptions are intended to accommodate reasonable program evolution and do not guarantee any particular performer, partner, schedule, broadcast, or experience.

3. Philadelphia Is Love Parties

Subject to actual written contractual relationships and counsel confirmation, "Philadelphia Is Love Parties" means the program owner/operator identified as Ciright, Inc., and where contractually engaged: producers; production companies; affiliated entities; licensors; licensees; venue owners/operators; property owners/landlords; sponsors and presenting partners under written agreement; advertisers; broadcasters and streaming/distribution partners; technology providers; security and hospitality providers; vendors; contractors and subcontractors; photographers and videographers; agencies; and their officers, directors, employees, representatives, agents, successors and permitted assigns.

Display of a logo on the Site does not by itself make an organization a Philadelphia Is Love Party or create partnership, joint venture, agency, employment, or endorsement.

4. Eligibility and Accounts

You must be capable of forming a binding contract under applicable law. Certain events or experiences may be designated 21+ or otherwise age-restricted. Account credentials are personal; you are responsible for activity under your account. We may suspend or terminate access for fraud, abuse, security risk, or Terms violations.

5. Event Attendance and Credentials

Physical attendance may require invitation, VIP approval, registration, purchase, or other credential. No final credential should be treated as complete until mandatory legal acceptances for the applicable document versions are recorded. Credentials may be refused, revoked, or conditioned on ID verification, security screening, and venue rules.

6. Notice of Filming, Photography & Audio Recording

YOU ARE ENTERING (OR ENGAGING WITH) AN ACTIVE LIVE ENTERTAINMENT AND MEDIA PRODUCTION ENVIRONMENT when you attend a Philadelphia Is Love event or participate in related production activities. Photography, video recording, audio recording, livestreaming and other production activities may occur. You may be captured entering, exiting, standing, walking, sitting, talking, cheering, dancing, interacting, participating, eating/drinking, appearing in crowds, appearing behind talent, appearing near sponsors, appearing in wide shots, or appearing incidentally. 7. Incidental Attendee vs Featured Participant

An incidental attendee is captured naturally within the event environment. A featured participant is intentionally interviewed, photographed individually, brought on stage, featured on camera, asked to perform, asked to provide testimony, or incorporated into branded content. Featured participants may be required to accept an additional Featured Participant / Interview Release. Professional talent requires separate agreements (Performer/Talent Framework).

8. No Automatic Compensation (Audience)

Except as provided in a separate written agreement with professional talent or featured participants, ordinary audience appearance does not entitle you to appearance fees, royalties, residuals, license fees, revenue participation, accounting, or approval rights.

9. Sports Rights / Non-Affiliation

Philadelphia Is Love is an independently produced Cultural Pregame Show and related cultural programming. It is not affiliated with, endorsed by, or sponsored by the National Football League, the Philadelphia Eagles, any opposing club, or any other professional football organization unless expressly agreed in writing. Philadelphia Is Love does not own, license for redistribution, or distribute the underlying professional football broadcast or game footage unless rights have been expressly acquired. Trademarks, broadcasts, and game footage belong to their respective owners. Football provides a calendar moment; Philadelphia provides the cultural content.

10. Intellectual Property

Philadelphia Is Love and/or its licensors own or license the Site design, branding, show formats, graphics, photographs, video, audio, recordings, written materials, databases, compilations, digital experiences and proprietary software, subject to third-party rights. You may not copy, scrape, reverse engineer, or commercially exploit Site content without permission. User-generated content is licensed as described below; we do not claim ownership of third-party IP merely by display.

11. User-Generated Content

If you submit photos, videos, comments, stories, nominations, music, fashion, restaurant, or community content, you represent you have rights to do so and grant Philadelphia Is Love Parties a non-exclusive, worldwide, royalty-free license to host, moderate, display, reproduce, adapt for technical formats, and promote the submission in connection with the program, subject to Privacy Policy and applicable law. We may remove content that is unlawful, infringing, harassing, or otherwise prohibited. Music submissions do not grant us publishing, master, sync, or public-performance licenses beyond what you expressly grant in writing.

12. Music Rights

Masters, publishing, composition, synchronization, mechanical, public performance, neighboring, artist and songwriter rights are distinct. These Terms never substitute for required music licenses.

13. Sponsors, Partners, Vendors

Sponsors, presenting partners, advertisers, venue partners, restaurants, vendors, community partners, technology partners and media partners are distinct categories. Participation or logo display does not automatically create partnership, joint venture, employment, agency, fiduciary relationship, or endorsement. Separate written agreements supersede these Terms for the relevant commercial relationship.

14. Contests and Giveaways

Contests, sweepstakes, prizes and giveaways may require separate Official Rules. See the Contest/Giveaway Rules Framework.

15. Third-Party Services

Ticketing, social platforms, transportation, restaurants, maps, payment processors, streaming providers and external websites are third parties. We are not responsible for their acts or omissions except as required by law.

16. Digital Experiences

Digital Avira and other interactive experiences are governed additionally by the Digital Experience Terms.

17. Youth / Minors

Youth Lab and minor participation require specialized Youth/Guardian documentation. Adult event Terms do not automatically govern minors.

18. Disclaimers

THE SITE AND PROGRAMMING ARE PROVIDED "AS IS" AND "AS AVAILABLE." PENNSYLVANIA COUNSEL REVIEW REQUIRED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. Philadelphia Is Love Parties disclaim warranties to the fullest extent permitted by law.

19. Limitation of Liability

PENNSYLVANIA COUNSEL REVIEW REQUIRED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. Philadelphia Is Love Parties' aggregate liability arising out of these Terms or Site use shall not exceed the greater of (a) amounts you paid to us for the specific product/service giving rise to the claim in the twelve months before the claim, or (b) one hundred U.S. dollars (USD $100), except where liability cannot be limited under applicable law (including certain personal injury claims arising from gross negligence or willful misconduct where non-waivable).

20. Indemnification (Scoped)

You agree to indemnify Philadelphia Is Love Parties against third-party claims arising from your Terms violations, unlawful user content, IP infringement by your submissions, fraud, or malicious misuse — not for ordinary incidental attendance captured in production, to the extent such indemnification would be commercially unreasonable under applicable law. PENNSYLVANIA COUNSEL REVIEW REQUIRED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

21. Changes; Force Majeure

We may update these Terms by posting a new version. Material changes to acceptance-gated documents require re-acceptance of the new version for new credentials. Schedule, performer, guest, programming, weather, technical, venue, postponement and cancellation changes may occur; refunds apply only if a stated refund policy or separate agreement provides them.

22. Dispute Resolution; Governing Law

PENNSYLVANIA COUNSEL REVIEW REQUIRED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules, subject to mandatory consumer protections. Venue for permitted court actions shall be state or federal courts located in Philadelphia County, Pennsylvania, unless counsel determines otherwise.

23. Contact

Legal notices: Ciright, Inc. — contact channels published on PhiladelphiaIsLove.com (e.g., support). Do not send confidential legal process solely to a general marketing inbox without confirmation of service instructions.

24. Document Family

These Terms work together with Privacy, Rights, Accessibility, Event Attendance, Media Release, VIP Attendance, Featured Participant, Performer/Talent Framework, Youth/Guardian Framework, Vendor Framework, Sponsor/Partner Framework, Digital Experience Terms, Contest Framework, and Venue Filming Notice. In case of conflict, the more specific document for the relationship controls, and signed commercial agreements control over website Terms for that relationship.
